1. Applicability

a) These terms and conditions apply to all services rendered by 10x Growth Company GmbH (“Rock Academy”).

b) By booking any of our programs or engaging in a commercial engagement with us you accept these terms and conditions. You can find the terms and conditions on our website. If you would like to receive a copy of these, please send an email via contact form and we will send it to you.

c) We may update these terms and conditions from time to time. Please check our website for the latest version of the terms that apply.


2. Confidentiality, Data protection, and Intellectual Property Rights

a) Privacy is important to us. Any confidential and/or personal data (such as, but not limited to, email address, customer data) is not shared with third parties and is not being used commercially by third parties (except if necessary to provide services related to and authorized by Rock Academy).

b) Please respect the confidentiality of any information shared in class, whether by the moderators, mentors, guest speakers, or any of the students. Rock Academy and its mentors do not share any confidential or sensitive information shared by the students or parents ("customers").

c) Our site and services contain copyrighted materials, trademarks, and proprietary information of Rock Academy and licensors of Rock Academy.

d) This includes, without limitation, video, text, photos, graphics, images, and audio (“Rock Academy Program Materials”).

e) By attending Rock Academy programs or any other provided service you shall not obtain any right to the “Rock Academy Materials”. These Materials may also not be shared in any way. If any program content would be shared, we may deny you further access to the programs and/or the Online Learning Platform and Community (“Rock Academy Community”). It is strictly forbidden to use any of our content (videos, slides, reading list, exercises) for commercial music lessons/services/workshops or similar.

f) You are welcome to use all of our images and text in our blog /website, as long as you mention the source and include a “dofollow” link to the original. For the avoidance of doubt, you are not welcome to share any of the information provided to you in the “Rock Academy Program Materials” as long as they have not been publicly shared by Rock Academy.


3. Booking, Registration, and Prices

a) On our website you find an overview of the programs that we teach. All the details of the camps, classes and workshops, including dates, location and price, are stated on the web site or in our email or WhatsApp communication.

b) Payment of the program fee is due upon registration, unless otherwise stated or agreed with Rock Academy.

c) According to § 4 Nr. 21 UStG no VAT is charged by Rock Academy (Umsatzsteuerfreiheit musikalischen Bildung / VAT exemption for musical education).


4. Access to Online Learning Platform and Community

a) We provide all of our customers login credentials for our Online Learning Platform and Community (“Rock Academy Community”). You are responsible for all the activities you make in your account.

b) Access to the Rock Academy Community is strictly personal and you may not share your log-in details. If any suspicious activity is found in your account, we have the right to deny you further access and delete your account (without any liability).

c) You may not use any content to offer commercial services that overlap with Rock Academy services whether during programs and classes or thereafter.

d) We do not teach individuals or hire mentors who offer services that overlap with our services. We have the right to deny or remove you from the program and/or the Rock Academy Community if you offer services that overlap with Rock Academy services.


5. Use of Third-party Services

We may give you access to external accounts but we are not responsible for the use of those services and their terms and conditions shall apply to the use of their services.


6. Cancellation, Illness, Trial Lessons, and Refund Policy

a) Rock Academy is not refunding missed sessions that are part of our recurring programs, e.g. a weekly session as a part of a four-week class subscription.

b) All of our recurring programs are subscription-based and can be cancelled before the renewal date via "Manage my subscription" in the Rock Academy Community. For 4-week subscriptions, upon cancellation the subscription remains active until the end of the current billing cycle at the time of cancellation and one additional 4-week billing period. The fee for this final period will be charged upon renewal and is non-refundable. This notice period allows Rock Academy to offer your reserved slot to another student and gives your mentor, band or group time to adjust. For commitment-based subscriptions (e.g. 3-month plans), the subscription ends at the conclusion of the current commitment period with no additional charge. All subscription fees are non-refundable.

Examples: 4-week subscription — renewal August 3rd, cancellation July 30th, final charge August 3rd, subscription ends August 31st. Commitment-based subscription — renewal August 24th, cancellation August 20th, subscription ends August 24th, no additional charge.

c) If a customer that booked a program with a fixed period (e.g. camps or workshops) cancels after booking but no later than two weeks before the start date Rock Academy refunds 50% of the booking costs. If a customer cancels within one week but not later than three days before the start date 25% of the booking costs are refunded. Outside the above deadlines fixed period customers are not eligible for refunds.

d) If a student is unable to attend a session of the enrolled program (e.g. class, camp, or workshop), regardless of the reason (including short-term illness), no refund or credit will be issued.

e) Lessons canceled with at least 24 hours' notice may be eligible for a makeup session at the discretion of the mentor, subject to availability. Makeup sessions must be arranged directly with the mentor within one week of the cancellation and can only be attended while the subscription remains active. Makeup sessions are not available for the Mini Rockers / Musikalische Früherziehung program.

f) For illnesses lasting more than one week, the subscription can be paused upon submission of a medical certificate. No fees are charged during the pause and the subscription end date will be extended by the duration of the pause. For illnesses exceeding 4 weeks, Rock Academy may reassign the student's time slot.

g) Rock Academy will only consider class cancellations that are submitted through the online form provided in the Rock Academy Community and not via other communication channels, e.g. WhatsApp or email. The medical certificate must be submitted via email within 14 days.

h) In case of a mentor absence, Rock Academy will make every effort to provide a qualified substitute mentor or coordinate a makeup class. If a mutually agreed-upon make-up lesson is missed by the student, no further make-up or refund will be provided. There is no guarantee of instruction by a specific mentor.

i) Rock Academy reserves the right to conduct trial lessons for prospective students during the regular class schedule. These sessions may take place alongside existing lessons to provide potential students with an authentic learning experience. Reasonable efforts will be made to minimize disruptions to enrolled students while maintaining the quality and integrity of the session. No refunds will be issued to existing students due to the presence of a trial student in their regular class.


7. Holidays, Pause Weeks, Closure periods, Force Majeure, and Promotions

a) If not announced differently, Rock Academy offers classes throughout the public school holidays (except the summer and Christmas holidays) and public holidays. If there are not enough students available to accommodate band jams, we aim to provide instrument lessons instead. This will be decided based on the actual availability of students during the respective holidays.

b) Subscribers are entitled to one 2-week pause block every 6 months, which may be taken as a single 2-week period or split into two separate 1-week periods. Pause weeks are available during the minimum commitment period and extend it accordingly. Requests must be submitted at least 2 weeks in advance via the Rock Academy community — late requests will be rejected. Pause weeks cannot be carried over or accumulated. Requests via WhatsApp or email are not accepted. The entitlement resets every 6 months from the subscription start date.

c) During Rock Academy closure periods, subscription renewals and cancellation deadlines are deferred by the duration of the closure, maintaining the original day of the week. If a subscription renews on the last day before a closure, the renewal proceeds as normal but the first session is deferred to the same day of the week after the closure ends.

d) In case of force majeure (e.g., pandemic, natural disaster), lessons may be moved online. The student is responsible for their internet and equipment. If unable to attend online, the contract will pause until the event ends. The student must inform Rock Academy in writing about the pause's start and end dates. Force majeure events include unforeseen and uncontrollable circumstances such as natural disasters, pandemics, civil unrest, government restrictions, and strikes.

e) Promotions for our subscription-based programs apply only for the first month of the subscription. The second month and all following months will be paid in full.


8. Price Adjustments

a) Rock Academy is entitled to adjust the agreed subscription fees at its reasonable discretion (§ 315 BGB) to reflect changes in total costs relevant to the price calculation. Such cost increases may arise in particular from increased personnel or coaching fees, studio rents, energy costs, insurance premiums, as well as statutory levies or taxes.

b) A price increase shall only be considered if the cost increases are not offset by cost savings in other areas. In exercising its reasonable discretion, Rock Academy will choose the timing of any price change such that cost reductions are taken into account according to the same criteria as cost increases, ensuring that price adjustments are cost-neutral in relation to overall expense trends.

c) Rock Academy shall inform the customer of a planned price increase in text form (e.g., via email) at least five weeks before it takes effect.

d) If the price increase exceeds 5% of the price applicable at the time of the increase, the customer is entitled to a special right of termination. In this case, the termination must be submitted in text form within four weeks of receiving the notification of the price increase and will become effective at the time the price increase takes effect. The regular termination period remains unaffected by this.

e) If no termination is submitted within the period, the subscription shall continue at the adjusted prices. Rock Academy will explicitly notify the customer of this right of termination and the legal consequences of failing to terminate within the notification of the price increase..

10. Court and Jurisdiction

Place of jurisdiction: Berlin
German law is applicable.

Any dispute shall be submitted exclusively to the competent court in Berlin, Germany.
